Spearhead Media Stock License Usage Agreement –
This is a license agreement between you and Spearhead Media LLC that explains how you can use photos and video clips that you license from Spearhead Media. By downloading content from Spearhead Media Stock, you accept the terms of this agreement.
Terms of Agreement for Spearhead Media Video + Photo Licenses-
Licenses for video clips:
1) Single Use License – Allows for use in a single video edit. License is good for the life of the video.
2) Unlimited Use / 2 Year License – Allows for use in unlimited video edits for 2 Years. License is good for the life of the videos created in that 2 year time period.
Licenses for photos:
1) Standard Single Use License – Social Media Posts, Blog Posts, Editorials, Newsletters, Personal Use.
2) Enhanced Extended Use License – Social Media Ads, Permanent Website images, Local Print campaigns (not for print or online re-sale).
3) Premium Extended Use License – Billboards, National Print Campaigns (Not for re-sale, Print or Online re-sale).
Restricted Uses:
1) No Unlawful Use. You may not use Media in a pornographic, defamatory or other unlawful manner.
2) No False Representation of Authorship. Buying the high-resolution Media (purchasing the license) does not transfer the copyright. You may not claim that the Media is your own.
3) No Media Resale. You may not sell, license for use, or in any way distribute the Media for reuse.
3) No Products for Resale. You may not use content in connection with any goods or services intended for resale or distribution where the primary value lies in the content itself including, without limitation, cards, stationery items, paper products, calendars, apparel items, posters (printed on paper, canvas, or any other media), DVDs, mobile applications or other items for resale, license or other distribution for profit. This includes “on demand” products (meaning products in which content is selected by a third party for customization on such product on a made-to-order basis), including, without limitation, postcards, mugs, t-shirts, posters and other items (this includes the sale of products through custom designed websites, as well as sites such as zazzle.com and cafepress.com)
Spearhead Media Stock Membership Agreement –
This is a membership agreement between you and Spearhead Media LLC. Access and use of the Stock Membership portions of the Site are provided by Spearhead Media LLC to you on condition that you accept the terms of use for this Membership Agreement and the Terms of Use, and by accessing or using the membership portions of the Site, you agree to the terms and conditions of this Membership Agreement and the Terms of Use. If you do not agree to accept and abide by this Membership Agreement and the Terms of Use, you should not purchase the Stock Membership. In the event of any inconsistency between this Membership Agreement and the Terms of Use, the terms of this Membership Agreement shall govern.
Spearhead Media reserves the right, in its discretion, to change or modify all or any part of this Membership Agreement at any time, effective immediately upon notice published on the Site. Your continued use of the Stock Membership portions of the Site after such notice constitutes your binding acceptance of the terms and conditions in this Membership Agreement, including any changes or modifications made by Spearhead Media LLC as permitted above. If at any time the terms and conditions of this Membership Agreement are no longer acceptable to you, you should immediately cease use of your Stock Membership and follow cancellation policy.
By purchasing a stock membership from Spearhead Media Stock, you accept the terms of this agreement.
Membership Terms of Use Agreement-
Monthly Membership includes:
5 Videos / 5 Photos per month (Single Use License for video clips, Standard Single Use License for photos).
25% Discount on Additional Clips + Photos (after credits have been used) off any video or photo from any tier.
3-Month Bundle Membership includes:
10 Videos / 10 Photos per month (Single Use License for video clips, Standard Single Use License for photos).
30% Discount on Additional Clips + Photos (after credits have been used) off any video or photo from any tier. Limit 30 per month.
6-Month Bundle Membership includes:
10 videos / 10 photos per month + 2 Stock Packs (Single Use License for video clips, Standard Single Use License for photos).
40% Discount on Additional Clips + Photos (after credits have been used) off any video or photo from any tier. Limit 40 per month.
1 Year Membership includes:
15 videos / 15 photos per month + 4 Stock Packs (Single Use License for video clips, Standard Single Use License for photos).
40% Discount on Additional Clips + Photos (after credits have been used) off any video or photo from any tier. Limit 50 per month.
Membership Cancellation Policy:
This Membership Agreement is effective until terminated. You may terminate this Membership Agreement at any time by canceling using the provided cancellation links.
Termination of this Membership Agreement will forfeit all download credits and any unused discounts remaining in your account.
Spearhead Media may terminate or suspend your membership for any breach of contract, in which restricted uses by the member have been determined by Spearhead Media.
Membership fees will be charged automatically within your billing cycle, unless properly terminated prior to the next billing date.
Spearhead Creators Store
All Sales are Final & Non-Refundable.
Resale of Spearhead Creators Store Products is prohibited.
Acknowledgement:
You acknowledge that you have read this membership agreement, understand it, and agree to be bound by its terms and conditions. You further agree that it is the complete and exclusive statement of the agreement between you and Spearhead Media LLC, which supersedes any proposal or prior agreement, oral or written, and any other communication between you and Spearhead Media LLC relating to the subject of this membership agreement.
Spearhead Media LLC is the owner of all intellectual property rights to Spearhead Creators Store Products. Copying, downloading and installing the Products, as well as using the intellectual property rights to the Spearhead Creators Store Products is only possible under these Terms. The structure, organization and source code of Spearhead Creators Store Products is confidential and is the property and valuable trade secret of Spearhead Media LLC, the violation of which may constitute an act subject to criminal and civil liability.
This License allows you to install and use the Spearhead Creators Store Products only on the number of Workstations corresponding to the number of purchased Licenses. It is forbidden to install and use the Spearhead Creators Store Products on more Workstations than the number of purchased Licenses.
Under no circumstances does the License allow the creation of competitive products. In particular, the license forbids creating Apple Motion, Adobe After Effects or DaVinci Resolve templates, Quicktime files, Final Cut Pro, Adobe Premiere Pro or DaVinci Resolve plugins, applications and any products similar to Spearhead Creators Store Products, regardless of whether they are created exclusively for private use or in connection with commercial operations, gainful activity or services rendered.
It is prohibited to sell, license, rent, sublease or share Spearhead Creators Store Products in any way — both for a fee and for free. Copies available for promotional purposes may only be used for demonstration, testing and evaluation of their functionality and may not be resold or used for commercial purposes.
The Terms are valid until the expiry of the agreement. This License will terminate automatically without notice from Spearhead Media LLC in case of breach by the User of any of its Terms. In the event of termination, the User should immediately discontinue the use of the Spearhead Creators Store Products and destroy all copies, in whole or in part, under pain of exposure to legal liability.
The User agrees to install and use Spearhead Creators Store Products at their own risk, at the same time accepting the quality, efficiency and ease of use of the Spearhead Creators Store Products. In addition to the limited warranty described in the License and aspects regulated by law, the User accepts the Spearhead Creators Store Products in the form provided by Spearhead Media LLC, including any latent defects and without warranty of any refund. Spearhead Media LLC does not guarantee in particular that the Spearhead Creators Store Products will meet the expectations regarding their use, accuracy, correctness, uptime, compatibility with products from other manufacturers or that any errors in the Spearhead Creators Store Products will be corrected in the future. No written or oral advice or information given by Spearhead Media LLC is an entitlement for reimbursement. Some jurisdictions do not allow waiver of a warranty, in cases governed by consumer law the above disclaimer may not apply.
This License and the Terms constitute the entire agreement between the parties relating to the Spearhead Creators Store Products and supersedes all prior and simultaneous agreements regarding this aspect.
